부실표시에 대한 일반규정도입필요성에 대한 연구 - 일본민법개정에서의 시도를 계기로 -
부실표시라는 영미법상의 제도는 우리에게 있어 생소한 제도이다. 물론 개별법을 중심으로 이와 관련된 규정이 없다고는 할 수 없지만, 우리가 일반적으로 이에 대한 규율체계를 가지고 있는 것은 아니다. 그런데 우리법과 마찬가지의 규율형태를 취하고 있는 일본의 경우에서 전체법을 개선함에 있어 부실표시를 도입하고자 하는 시도가 있었다. 종국적으로 이는 무위로 돌아갔지만, 그 속에서 보여진 문제를 우리법에도 투영해 봄으로써 우리법의 개선을 도모하고자 하였다. 결과적으로 부실표시에 대한 일반규정을 우리법에 반드시 두어야 할 정도로 우리에게 규율의 공백이 존재하는 것은 아니지만, 그럼에도 이러한 규정을 둘 수 있다면 현대에 있어 중대한 문제인 잘못된 진술로 인한 상황에 있어 통일적이고 일반적인 규율을 가능하게 되므로 이러한 시도는 충분히 실익이 있다고 할 것이다. 그리고 본 논문에서는 기존의 사기규정을 확장하는 개정이 가장 타당한 방식임을 지적하였다. 이를 통해 통일적인 규율체계 속에서 사기 이외의 경우에도 계약의 무효화를 근거지울 수 있도록 하고, 불법행위제도를 통해 손해배상책임이 인정되게 된다. 더 나아가 민법 제109조를 둘러싼 기존의 착오제도에도 기여하는 바가 있다는 것도 확인할 수 있었다.
A study on necessity of general provision as to Misrepresentation
Misrepresentation in the common law jurisdiction is an unfamiliar system for us. Of course we can not say that there are no regulations related to this in our specific laws, but we do not have this as a general system. However, in the case of Japan, which adopts the same legal system as ours, there has been an attempt to adopt Misrepresentation while revising Japanese Civil Code as a whole. Ultimately, it went back to the dead, but we can seek to improve our law by projecting the problems seen in this attempt into our law. As a result, we do not find a remarkable gap in our legal system, but this would be beneficial to introduce a general provision as to Misrepresentation because it would enable an unified and general regulation in situations that are a serious problem arising from wrong statements. And it is pointed out that the revision that extends the existing fraud rules is the most reasonable method in this paper. This makes it possible to avoid the contract in a unified manner even in cases other than fraud, and recognize liability for damages through existing Tort system. Furthermore, it can be found that there would be a contribution to the discussion surrounding the Article 109 of the Civil Code regulating Mistake.
